Paramount settles antitrust suit, clearing way for Warner Bros merger

Paramount Skydance settled with a coalition of state attorneys general led by California Attorney General Rob Bonta, clearing the way for its reported $110 billion acquisition of Warner Bros. Discovery to move forward. The suit had been set for trial in March and would have kept the deal in limbo through mid-2027; California and 11 other states filed in mid-July on antitrust grounds. Reuters sources say the settlement requires independent editorial boards for CNN and CBS and imposes a $30 million penalty per film if Paramount misses CEO David Ellison’s pledge to release 30 films a year. The transaction already won approval from U.S. and other international regulators; Paramount had told investors it expected to close by September 30 and had agreed to a ticking fee that could have added roughly $650 million per quarter after that date. The Writers Guild of America and many Hollywood creatives had sued or publicly opposed the deal, citing harms to writers and to production in California. The settlement removes the last major legal obstacle to the merger and lets the combined company proceed toward closing under the existing regulatory approvals.
